The People of the State of Michigan v Wyoming Corporate Services, Inc
On July 2, 2024, Wyoming Corporate Services, Inc entered into an Assurance of Voluntary Compliance with Michigan Attorney General, Dana Nessel.
The agreement comes after an investigation found that Wyoming Corporate Services, Inc was marketing “aged shelf companies” in Michigan as a means to deceive customers and gain an undeserved marketplace advantage.
A shelf company is a business entity created and left to age until an eventual buyer purchases it. Acquiring a shelf company allows the purchaser to get an entity with an established history, which can be beneficial for purposes such as gaining easier access to credit or appearing more credible to potential clients or partners.
As part of the Assurance of Voluntary Compliance, Wyoming Corporate Services is banned from selling aged shelf companies previously created under Michigan law and from creating any new entities in Michigan for sale as aged shelf companies. Additionally, Wyoming Corporate Services must dissolve all existing Michigan entities held as aged shelf companies and remove any language from its website that promotes the illegal or deceptive use of aged shelf companies.
