Charges allege the business is in violation of federal law prohibiting the payment of undisclosed commissions to unregistered salespeople, and failure to properly disclose to investors that approximately 30% of offering proceeds were used to pay offering costs. The business is also being charged with violating antifraud provisions of the Securities Act of 1933 and the Securities Exchange Act of 1934.
