    Attached is a brief explanation. I can provide all detailed emails and communications between the Company's CEO and myself.Leasehold agreement dated 8/3/2023 $500,000 would yield $750,000 by 12/31/2023. No payments. On 1/21/2024 **** CEO agreed to pay $100,000 weekly with a $15,000.00 penalty. Received $415,000.00 as of 10/5/2024. Balance $350,000.00 from the original contract. Payments were made but not weekly. 6/13/2024 email from the CEO confirms -"will pay additional $600,000 for delay and to cover my losses". (Got one oil well Joint Venture of $100,000) $500,000 was for another leasehold - *** did not provide the ************** owed $850,000 as of 10/5/2024. August 2024, **** legal team sent an agreement for me to forcefully accept the incomplete extension that is only in favor of ENR and that I will not in any way disparage, defame, libel, slander, place a negative light, or in any other way harm or attempt to harm the reputation, goodwill or commercial interest of ENR and not communicate with the CEO or the staff. 10/5/2024 The CEO's Text I am not renting your property knockoff your s*** youre ******* me off Anymore issues from you or texts or emails or posts online Im going to block your number and your email and deal with it legally. Last warning..dont contact me again..Have a nice life our payments are done and our business concludedyou want communication you can email **** ***** my attorney..cease and desist will be sent out to you any further communications and litigation will ensure if we have more issues or you threaten me again

    **RE: Cease and Desist Notice for Slander, Defamation,Libel, Tortious Interference, and Demands for Damages**  

    Dear Mr. **************** am writing to you on behalf of Eagle Natural Resources,LLC, Eagle Energy Partners, and their affiliates (hereinafter collectively referred to as "ENR") regarding your recent conduct, which has resulted in significant harm to our reputation and business operations. It has come to our attention that you have made false statements about ENR, both directly and indirectly, which constitute slander, defamation, and libel. These actions are not only unethical but also legally actionable.

    Your defamatory statements include, but are not limited to,the following false claims made in your recent online review:

    - "I will never get my money back. I invested into ENR/EEP (Eagle Natural Resources) (Eagle Energy Partners) into multiple JVs and Leaseholds. The CEO made great promises but no delivery."
    - "Their Prospectus looks great with 355 ***** producing and more on its way... I started to invest due to the promises of great tax write-offs, superb returns, strength, goals, and the greatest vision of **** success per the CEO."
    - "On 1/21/2024, **** CEO agreed to pay $100K weekly.I agreed to it. Later he changed it to $25K to $50K weekly without my acceptance."
    - "As of 10/7/2024, ENR has paid less than 60% of the total that was due on 12/31/2023."
    - "I received multiple threats from **** CEO & the legal team to forcefully accept an incomplete agreement that would only favor ENR..."

    These statements are false and have caused ENR to suffer significant damages, including lost business opportunities, reputational harm,and negative impacts on our relationships with clients and partners. We estimate these damages to be no less than **$3.5 million**. Additionally, *** has suffered emotional distress and harm to its professional reputation as a result of your statements.

    We hereby demand that you immediately cease and desist from making any further defamatory statements regarding ENR, whether in public forums or through any indirect means. This includes, but is not limited to,social media platforms, professional networks, or any other channels where such statements may be disseminated. Furthermore, this cease and desist order extends to you, your heirs, successors, and any entities or individuals hosting your posts on any forum.

    Please be advised that should you fail to comply with this demand, *** will pursue all available civil, criminal, and federal remedies against you. This includes, but is not limited to, pursuing damages for slander, defamation, libel, tortious interference, and corporate espionage in any and all state, county, or federal jurisdictions. *** also reserves the right to seek recovery of attorneys' fees and any other remedies known or unknown by law.

    I hereby direct you to immediately take down and cease any disparagement, coercion, intimidation, trespass, slander, defamation, libel, or tortious interference against ENR and myself. Failure to comply will result in formal legal action being taken against you.

    This letter serves as a formal notice that any continued dissemination of false statements will compel us to take legal action against you for damages caused by your defamatory conduct. *** does not owe you or any parties associated with you any money of any kind whatsoever and disputes any claims against ENR.

    We hope to resolve this matter amicably and look forward to your prompt compliance with this cease and desist notice.

    I am rejecting this response because:   The main issue about the payment was not addressed.

    Your response to my request is incorrect.
    There was no reason for me to file any complaint or review had ENR paid me on time and according to the promises and written agreement.  
    Therefore, pay the $850.000
    I will provide a satisfactory report to both agencies.

    Total Received $415,000.00 as of 10/5/2024.
    Balance $350,000.00 from original contract.
    Plus $500,000.00 agreed upon by the CEO on 6/13/2024 email.

     Were going to send you the Iron Horse JV for the capital you wish to roll into that as well as the alpha **** ** they have the same assets since the venturers votes in a merger of assets across 6 active jvs.  Ill need ***** days to wrap up the $465k left per the agreement.  As for the 600k we discussed an asset swap of one of our Texas properties Ill be abale to get more information to you on that asset in the coming weeks for your review.  It is over a 600k value as well and should suffice for a swap for the additional 600k.  As for the $465k to be paid back that interest you own is being held in trust for you to be liquidated via investment from outside investors into the active jvs and will be paid to you based on the sell of units over the coming weeks. I will be back in office Monday full swing and I appreciate your understanding on the time constraints and delays on my end and plan to get this wrapped up asap.

    I am rejecting this response because:   My claim of $850,000 due to me is correct, valid and legit. I have already submitted the supporting documents. So far *** has refused to to pay and settle. Instead they have threatened to file a law suite without paying. Their response has been incorrect - is this the honesty and integrity of ENR? I have worked with you since 1/1/2024.
